Terms of Service
Effective May 1, 2026
These Terms of Service (“Terms”) govern your use of Competency Health (the “Service”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.
1. The Service
Competency Health is a clinical-competency tracking platform for hospital and clinic onboarding programs. The Service helps organizations record skill demonstrations, manage training program structure, deliver coaching feedback, schedule reports, and communicate among trainees, preceptors, and managers.
2. Accounts and access
- You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.
- Accounts are created by your employer's authorized administrator and are not transferable.
- Keep your password and recovery codes secret. You are responsible for activity under your account; tell your administrator immediately if you suspect unauthorized access.
- We may suspend or revoke access if you violate these Terms or your organization requests removal.
3. Acceptable use
You agree not to use the Service to:
- Enter Protected Health Information (PHI), patient identifiers, room numbers, or any data that could re-identify a patient. The Service is not designed to hold PHI.
- Attempt to access another user's account, bypass security controls, or evade rate limits.
- Reverse-engineer, decompile, or extract source code from the Service.
- Resell, sublicense, or otherwise commercialize the Service without our written permission.
- Submit content that is unlawful, harassing, defamatory, infringing, or that violates the privacy of another person.
- Probe, scan, or test the vulnerability of the Service except via a coordinated security disclosure to security@competency.health.
- Use the Service's AI Coach to substitute for clinical judgment, supervision, or licensure requirements (see AI Disclosure).
4. Your content
You retain ownership of the records you create — skill logs, sign-offs, notes, messages, announcements, and uploaded files. You grant us a limited license to host, transmit, display, and process that content as necessary to operate the Service for you and your organization.
Your organization (your employer) controls the records associated with your account; questions about who can access or modify your records should be directed to your administrator.
5. Sign-off and clinical responsibility
Sign-offs recorded in the Service represent a preceptor's judgment based on observed performance. They are not a substitute for licensure, hospital credentialing, or any regulatory requirement. The Service does not certify clinical competence on behalf of your organization, regulator, or any external body. Your organization decides who is signed off and what each sign-off means within their training program.
6. The Competency Coach (AI feature)
The Service includes an AI-assisted “Competency Coach” that generates progress reflections and focus suggestions. The Coach is a training reflection tool, not a clinical advisor. See the AI Disclosure for full details, scope, and limitations.
7. Service availability
We strive for high availability but do not guarantee uninterrupted access. We may take parts of the Service offline for maintenance, security, or upgrades. We are not liable for downtime caused by your network, device, or third-party services outside our control.
8. Fees
If your organization has a paid plan, fees and billing terms are set out in their separate agreement with us. Individual users do not pay us directly.
9. Termination
Your organization can deactivate your account at any time. We can suspend or terminate accounts that violate these Terms. On termination, your account is deactivated and your records are retained per our Privacy Policyand your organization's data-retention rules.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DATA WILL ALWAYS BE PRESERVED, OR THAT THE AI COACH'S OUTPUT IS CLINICALLY ACCURATE OR APPROPRIATE FOR ANY PARTICULAR SITUATION.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPETENCY HEALTH BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOUR ORGANIZATION TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will indemnify and hold us harmless from any third-party claim arising out of your violation of these Terms, your misuse of the Service (including any submission of PHI), or your violation of any law or another person's rights.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to that jurisdiction and venue.
14. Changes to these Terms
We may update these Terms. Material changes will be communicated by email to account administrators at least 30 days before they take effect, and the “Effective” date above will be updated. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
